Many consultants and websites selling LLCs advocate that sole providers or small internet companies with a single driving personality form a Limited Liability Corporation. The most cited reason is asset protection.

Asset protection as a reason for an LLC for a single person entity as an explanation presents various dangers of misunderstanding. This would be fraud and would be a personal act opening yourself up to punitive damages. Indeed, if you thought the corporation would protect you then your responses to requests for correcting deficiencies in contractual performance would be powerful evidence you intended to defraud.

In fact for any tort or criminal act you will always be liable under a basic principle of agency law. “An agent who does an act otherwise a tort is not relieved from liability by the fact he acted on command or account of the principle”. For the small consultant any competent lawyer could probably almost always construe any breach of contract as a tort. If the corporation lacked money to pay the consultant then signing would be fraud, Indian site submitter spammed and ruined reputation then negligence in hiring, leaking of secure information again negligence. That’s without even piercing the corporate veil.

So what is a corporation good for? Well, asset protection is a legitimate use where you are providing a computer program or other packaged good. Then you can argue the rights to the good are a corporate asset. The best practice would be to put into the contract a statement that all parties agree all recourse is to the corporation. Using that language for a service contract however could be evidence of fraudulent intent. The major asset protection argument’s real use is to protect against the negligence of employees or premises liability. (I would always recommend an LLC for a landlord). So a consultant who frequently repackages services would have a stronger reason to need a corporate entity.

The other reason frequently cited is naming. This isn’t the best reason as a D/B/A (doing business as) filing is often better and cheaper.

The downsides to a Corporation are the costs involved and need to comply with regulation. An often hidden downside is the loss of the ability to represent yourself. A corporation almost always will need a lawyer and cannot be represented by a corporate officer. Some state small claims courts will allow it however. So defending your corporation could end up costing you more then the assets in it. Then in some states the procedure is to ask to pierce the corporate veil after a judgement so you be unable to retry the merits of the case.

So what is the best protection for an SEO or internet service provider? A well-drafted contract and good service. Because of the nature of the business with clients all over it becomes very important to include a prominent forum selection clause with a provision that a party suing in the wrong forum will pay the fees necessary to have the case dismissed in the wrong forum. A provision limiting any damages to the amount of the contracted services plus reasonable interest would provide a lot of protection. What should be included varies from jurisdiction to jurisdiction and I encourage you to consult a lawyer in your own jurisdiction and this article is provided for general information and is not tailored from state to state. SEO and internet marketing services are greatly in demand among legal professionals so most SEO professionals can probably find a local lawyer who will barter SEO services for a well drafted contract.

Finally, this article should not be taken as disparaging the corporate entity, it’s a great tool. Once you find yourself selling the services of others you should absolutely consider a limited liability entity or when the corporation will be selling assets such as software licenses. Just be careful that your corporation always has a realistic present ability and intent to perform a contract on which you are the signing officer.

Google Keyword Research Tool: When this free tool came out the other week we all had a little dance party in the office we were so excited! Well to be honest, there wasn’t any dancing involved but it sure did give us a reason to celebrate

This tool is amazing! Simply type in your keyword and you can see a long list of related keywords with approximate search volumes for those keywords as well! You can even customize the results with this tool: everything from the location (country) of your keyword results to finding out which month had the highest search volumes. This free keyword research tool immediately replaced my other keyword research tools by Wordze and SEO Book after just one test use: that’s how powerful it is. In short, the tool rocks and it instantly makes keyword research way easier and much more efficient!

HTML Playground: This tool is great for those that have limited HTML knowledge or just aren’t sure how to apply the right formatting in an easy and efficient manner. Well this free tool takes all the ‘hard work’ out of HTML coding for you. It has a list of all the most popular tags; simply click on the tag, customize the parameters and colours you desire and the HTML code is ready to go! It even shows you a preview of what your text or image will look like once uploaded! This tool is simply vital for any HTML rookie or beginner.

Firefox Extensions

There are hundreds of free Firefox extensions readily available at Firefox Add-ons. They have tools and add-ons for just about everything! My favourite Firefox add-ons for SEO are:

SEOpen: This add-on lets you place a toolbar in Firefox to quickly analyze everything from the number of Yahoo! Backlinks to verifying whether the PR of a site is legitimate or not; and that’s just the beginning. I think of it as in all-in-one SEO resource that is absolutely mandatory!

SearchStatus: This nifty little add-on simply lets you display the Google PageRank, Alexa rank and Compete ranking anywhere on your browser. It also allows you to highlight nofollow links and comes equipped with a fast keyword density analyzer. Pretty sweeeeeet!

SeoQuake: This tool is one of the most advanced Firefox add-ons for SEO. Yet it’s perfect for both beginners and advanced users. Basically, SeoQuake displays the parameters for search results and even includes the findings into the search engine result pages ‘SERPs’ for the most popular search engines. You can then set these parameters to display by ascending or descending order; so you can search for any keyword in Google or Yahoo! and then set the order to show the highest PR’s, or the most Yahoo! backlinks, or by whatever parameter(s) you are most interested in.

And now, my favourite Firefox add-on is (insert drum roll) Speed Dial!

This add-on lets you visually display your most used websites so you can access them instantly! Forget about using bookmarks ever again! Simply open up the add-on and enter the number of columns and rows to determine the amount of sites displayed in your speed dial. To enter in the sites simply click on the boxes and type in the URL’s.

When you want to access your favourite sites simply hold CTRL and press the number of the site (number set in speed dial options) to open it up in a new tab or window. Or you can press the speed dial button which displays all your sites in one window and then you can just click on the site you want to open. Once you get the hang of this add-on you can instantly access your favourite site(s) with just a couple of clicks: saving you both time and effort! It’s a win-win situation like no other!

It is therefore, much easier to rank well for the keywords “courtney heard” than it is for web design. This is why you must choose keywords wisely. With tools such as wordtracker.com, you can find out approximately how many searches are performed for a given keyword or keyword phrase. The more competitive those keywords are, the higher the cost will be to optimize your web site and the longer the optimization will take.

3. The Size of Your Target Market – If your site is targeting a global market, it will take a lot more effort to reach the top ten search results than if your site is targeting a regional market. It also depends on what sort of market you’re targeting. If your site sells a product that only a small group of people will be interested in purchasing, your site will be optimized easier than if the product or service appealed to the global population.
